GENERAL TERMS AND CONDITIONS

Maison Valérion

1. Scope of Application

  • These General Terms and Conditions (hereinafter “T&Cs”) apply, in the version valid at the time of the order, to all contracts concluded between Maison Valérion, an offering of Fleurop AG, Lindenstr. 3-4, 12207 Berlin (hereinafter “we” or “us”) and the customer in connection with our offering of wines and Crémant.
  • We may amend these T&Cs with effect for the future, provided the amendments are reasonable for the customer. The customer will be notified of any amendments in advance in text form. If the customer does not object to the amendments in text form within six weeks of receiving the notification, they will be deemed accepted by the customer.

2. Subject Matter of the Contract

  • We offer high-quality wines and Crémant. These products are subject to special storage conditions and are considered perishable goods insofar as they can be damaged by improper storage.
  • The customer can purchase Crémant individually, either for themselves or for delivery to a third party.

3. Terms of Delivery

3.1 Special Features of Wines

  • Wines and Crémant are natural products whose characteristics are influenced by storage, temperature and light conditions. The wine ordered by the customer may therefore vary in its organoleptic properties. The images in our online shop serve merely as examples.
  • Unless otherwise agreed at the time the contract is concluded, we are obliged to professionally assemble and package the ordered wines and to deliver them to the delivery address specified by the customer by means of a shipping service provider. Storage and shipping take place with all necessary precautions to ensure the quality of the products.

3.2 Delivery

  • Delivery is carried out by a shipping service provider. We deliver to the following countries: Germany.
  • Information on the availability, shipping or delivery of a product is only an approximate guide. It does not constitute binding or guaranteed shipping or delivery dates, unless a date is expressly designated as binding.
  • If a delivery date falls on a public holiday, delivery may take place earlier or later.
  • The customer is responsible for the correctness and completeness of the recipient’s address. If delivery cannot be carried out due to an incorrect or incomplete address provided by the customer, the customer must additionally bear the shipping costs for the resulting unsuccessful delivery attempts.
  • If the recipient is not at home, the shipping service provider is entitled, subject to the provisions of Section 12 (Age of Majority and Protection of Minors), to hand the ordered goods over to a third party who appears suitable for forwarding them to the recipient.

4. Liability

  • Our liability for payment of damages and reimbursement of expenses is excluded, unless otherwise provided below.
  • The exclusion of liability does not apply to damages caused by a culpable breach of an essential contractual obligation in a manner that jeopardizes the achievement of the purpose of the contract. Essential contractual obligations are those obligations whose fulfillment is a prerequisite for the proper performance of the contract in the first place and on whose observance the contractual partner regularly relies and may rely. In this case, however, liability is limited to the damage typical for this type of contract, which each contracting party had to expect to occur based on the circumstances known to it at that time.
  • The exclusion of liability further does not apply to damages resulting from injury to life, body or health that are based on a negligent breach of duty by us, our legal representatives or vicarious agents, nor to damages that are based on an intentional or grossly negligent breach of duty by us, our legal representatives or vicarious agents.
  • Insofar as our liability is excluded or limited, this also applies to the liability of our legal representatives and vicarious agents.
  • Liability under a given guarantee or under the Product Liability Act (Produkthaftungsgesetz) remains unaffected.

5. Warranty

  • For consumers, the statutory warranty provisions apply.
  • If the customer is not a consumer, it is their responsibility to report obvious defects in the products or in the delivery without delay in order to preserve any warranty claims.

6. Prices

  • The prices stated are final prices including statutory value added tax. The applicable statutory value added tax is therefore already included in the displayed order value.
  • Shipping costs are shown separately and charged in addition, unless otherwise stated.

7. Ordering Process

  • The customer can order wines and Crémant individually via our online shop. After selecting the products and entering the delivery address, the customer is asked to register or log in.
  • During registration, the customer creates a user account with their email address and a password of their own choosing. The customer also enters a delivery address and can optionally specify a different billing address.
  • All data of the planned order are summarized on the overview page. Correction of input errors: The customer can review and change their entries at any time before submitting the order. By submitting their order, the customer accepts these T&Cs and confirms that they have taken note of the cancellation policy and the information on data protection.
  • On this page, the customer can select the payment method. The available options are PayPal, Pay by Bank, credit card or Pay now. In addition, the customer can enter any voucher code they may have in the “Voucher code” field provided for this purpose and use it via the “Redeem” button.
  • By clicking the “Order with obligation to pay” button, the customer submits the order to us and thereby offers us the conclusion of a purchase contract. Depending on the payment method selected, the customer then enters their payment details.

8. Conclusion of Contract

  • With the “Order with obligation to pay” button, the customer submits a binding offer. They then receive an order confirmation, which does not yet constitute acceptance of the contractual offer. The contract is only concluded when we send the customer an order acceptance by email.
  • Orders are stored by us after the conclusion of the contract. The contract text is sent to the customer by email together with the order acceptance. The contract language is German. If the customer loses any documents relating to the order, they can contact us by email (info@maison-valerion.com).
  • Items marked with the note “Shipping by post” can no longer be cancelled or changed once the shipping process has begun and the items have been handed over to our shipping partners DHL or DPD.

9. Payment

The invoice amount becomes due immediately after the order acceptance has been sent. The customer can choose between payment via PayPal, Pay by Bank, credit card or Pay now.

10. Right of Withdrawal

Consumers have a fourteen-day right of withdrawal when concluding a distance contract. A consumer is any natural person who concludes a legal transaction for purposes that can predominantly be attributed neither to their commercial nor to their self-employed professional activity (Section 13 of the German Civil Code (BGB)). A distance contract exists if the contract is concluded exclusively by means of distance communication – in particular by letter, telephone, email or fax – or via the internet.

10.1 Exclusion of the Right of Withdrawal

The right of withdrawal does not exist, in particular, for:

  • Contracts for the delivery of goods that can spoil quickly or whose expiry date would be exceeded quickly
  • Contracts for the delivery of sealed goods that are not suitable for return for reasons of health protection or hygiene, if their seal has been removed after delivery

10.2 Cancellation Policy

Right of Withdrawal

Consumers have the right to withdraw from the contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day on which you or a third party designated by you, who is not the carrier, took possession of the goods. If the contract concerns several goods that you ordered as part of a single order and that are delivered separately, the withdrawal period is fourteen days from the day on which you or a third party designated by you, who is not the carrier, took possession of the last item.

To exercise your right of withdrawal, you must inform us

Maison Valérion

Fleurop AG

Lindenstr. 3-4

Email: info@maison-valerion.com

of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email). You can use the enclosed model withdrawal form (Section 10.4) for this purpose, but it is not mandatory. You can also exercise your right of withdrawal online at https://www.maison-valerion.de/vertrag-widerrufen/. If you use this online function, we will send you an acknowledgment of receipt on a durable medium (e.g. by email) without delay, with information on the content of the withdrawal statement as well as the date and time of its receipt.

To meet the withdrawal deadline, it is sufficient that you send the notification of your exercise of the right of withdrawal before the withdrawal period has expired.

10.3 Consequences of Withdrawal

If you withdraw from this contract, we must reimburse all payments we have received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and at the latest within fourteen days from the day on which we received the notification of your withdrawal from this contract. For this reimbursement, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees because of this reimbursement. We may refuse reimbursement until we have received the goods back or until you have provided evidence that you have returned the goods, whichever is earlier.

You must return or hand over the goods to us without undue delay and in any event no later than fourteen days from the day on which you notify us of the withdrawal from this contract. The deadline is met if you send the goods before the period of fourteen days has expired.

You bear the direct costs of returning the goods.

You are only liable for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for examining their condition, properties and functioning.

10.4 Model Withdrawal Form

11. Data Protection

  • When you place an order, we collect and use your personal data only insofar as this is necessary for the fulfillment and processing of your order and for handling your inquiries. The provision of the data is necessary for the conclusion of the contract. Failure to provide the data means that no contract can be concluded.
  • The processing is based on Art. 6(1)(b) GDPR and is necessary for the performance of a contract with you. Your data will not be passed on to third parties without your express consent, except to our service partners whom we require for the performance of the contract (e.g. shipping service providers, payment service providers).

12. Age of Majority and Protection of Minors

  • By accepting these T&Cs in the last step of the ordering process, the customer confirms that they are of legal age (i.e. have reached the age of 18) and are entitled to purchase alcoholic beverages.
  • We only deliver alcoholic beverages to recipients of legal age. If the order contains alcoholic beverages, we reserve the right to hand over the delivery only after a successful age verification. The legal background of this verification is the requirements of the Youth Protection Act (Jugendschutzgesetz).

13. Retention of Title, Set-Off and Right of Retention

  • In the case of consumers, we retain title to the purchased item until the invoice amount has been paid in full.
  • If the customer is a business acting in the exercise of their commercial or self-employed professional activity, a legal entity under public law or a special fund under public law, we retain title to the purchased item until all outstanding claims arising from the business relationship with the customer have been settled. The corresponding security rights are transferable to third parties.
  • Set-off against our claims arising from this contract is only possible with counterclaims that are based on our warranty for defects, and in all other cases exclusively with counterclaims that are undisputed or have been finally determined by a court.
  • The customer has a right of retention only if and to the extent that the counterclaim is based on the same contractual relationship.
  • If the customer is in default of payment obligations towards us, all existing claims become due immediately, where permissible.

14. Place of Performance and Jurisdiction

Place of performance: Berlin

Jurisdiction: The exclusive place of jurisdiction for all disputes is Berlin if the customer is a merchant within the meaning of the German Commercial Code (HGB), a legal entity under public law or a special fund under public law.

15. Applicable Law and Dispute Resolution

  • German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers with their habitual residence abroad may, regardless of the specific choice of law, always rely on the mandatory provisions of the law of the state in which they have their place of residence.
  • Notice pursuant to Section 36 of the Consumer Dispute Resolution Act (VSBG): We do not participate in any dispute resolution proceedings before a consumer arbitration board within the meaning of the VSBG. There is no legal obligation to do so.

16. Severability Clause

Should individual provisions of these T&Cs be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provisions shall replace the invalid provision.
